Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and [YOUR-COMPANY-LEGAL-NAME] ("[YOUR-COMPANY-NAME]", "we", "us") regarding your use of the website, dashboard, and APIs (the "Service").

By creating an account or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

  • These Terms apply to all users, including visitors, registered users, and paying customers.
  • Additional terms may apply to specific features or promotions and will be presented at the point of use.
  • Our Privacy Policy is incorporated into these Terms by reference.

Your account

You are responsible for the activity that happens under your account.

  • Provide accurate information when you sign up and keep it up to date.
  • Choose a strong, unique password (or use a passkey / OAuth provider) and never share your credentials.
  • Notify us immediately at security@[YOUR-DOMAIN] if you suspect unauthorised access.
  • You must be at least 13 years old (or 16 in jurisdictions where that higher threshold applies) to create an account.
  • One human, one account. Service accounts are allowed for organizations and must be tied to an authorized owner.

Acceptable use

You agree not to use the Service for the following:

  • Anything illegal under the laws of [YOUR-JURISDICTION] or your local jurisdiction.
  • Sending spam, phishing, or unsolicited bulk communications through our email or notification primitives.
  • Hosting or distributing malware, ransomware, or any code intended to disrupt third-party systems.
  • Scraping, crawling, or accessing the Service at scale outside the documented APIs and rate limits.
  • Reverse-engineering, decompiling, or attempting to extract the source code of components we have not open-sourced.
  • Targeted harassment, hate speech, or content that sexualises minors. Zero tolerance.
  • Circumventing technical limits (rate limits, seat limits, tier gates) or sharing a single seat across many people.

Subscriptions and billing

We sell three tiers (free, pro, scale) plus optional credit packs. The current pricing is published on /pricing and is the only source of truth.

Paid subscriptions auto-renew at the end of each billing cycle (monthly or yearly) at the then-current price. We will email you before any price increase.

You can cancel any time from /dashboard/settings → Subscription. Cancellation takes effect at the end of the current paid period; you keep access until then.

We offer a 30-day refund window for first-time monthly subscriptions and the first month of any annual plan. Beyond that, payments are non-refundable except where required by law. Credit packs are non-refundable once consumed.

Taxes (VAT, sales tax, GST) are added where applicable based on your billing country. You are responsible for any withholding tax in your own jurisdiction.

  • Free tier — no payment required; feature-gated as described on /pricing.
  • Pro tier — monthly or yearly subscription; auto-renews until cancelled.
  • Scale tier — monthly or yearly subscription; auto-renews until cancelled.
  • Credit packs — one-time purchase; non-refundable once consumed; no expiry.

Intellectual property

Your data is yours. The Service code is ours.

  • You retain all rights to the content, code, and data you upload to or generate through the Service. You grant us a limited, worldwide, royalty-free licence to host, display, and process it strictly to operate the Service for you.
  • [YOUR-COMPANY-NAME], the Service code (other than open-source components), the brand, logo, and documentation are owned by us or our licensors.
  • If the Service is a fork of an open-source boilerplate, the original licence (typically MIT) continues to apply to the upstream code. Your data and your customisations remain yours.
  • Feedback you send us (bug reports, feature requests, ideas) may be used freely without attribution or compensation.

Termination and suspension

Either of us can end this agreement.

You can leave at any time by deleting your account from /dashboard/settings → Security. A 30-day grace window applies; cancel during the window to stop deletion.

We can suspend or terminate your account, with notice where reasonably possible, if you materially breach these Terms, abuse the Service, fail to pay, or if continuing to provide the Service exposes us to legal risk.

On termination, your access stops, your data is deleted on the schedule described in the Privacy Policy, and any unused prepaid balance is treated according to the refund rules in "Subscriptions and billing".

  • Immediate suspension may apply without notice for illegal activity, credible security threats, or serious abuse.
  • We will make commercially reasonable efforts to give you 7 days' notice before terminating a paid account for non-payment.
  • You may export your data at any time before termination from /dashboard/settings → Security.

Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or goodwill, even if advised of the possibility.

Our total aggregate liability for any claim arising out of or relating to the Service is capped at the greater of (a) the fees you paid us in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred US dollars ($100). Nothing in these Terms limits liability that cannot be limited by law (such as fraud, gross negligence, or death/personal injury caused by negligence).

  • Loss of data due to user error, misconfiguration, or failure to export before account deletion is not covered.
  • Downtime attributable to third-party infrastructure (cloud provider, DNS, CDN) does not give rise to liability on our part.
  • EU consumers retain mandatory statutory rights that these limitations cannot override.

Warranty disclaimer

The Service is provided "as is" and "as available". To the maximum extent permitted by law, [YOUR-COMPANY-NAME] disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that the Service will be uninterrupted, error-free, or that any specific result will be achieved. Status and incidents are published at /status.

  • No warranty is given as to the accuracy, completeness, or fitness for a particular purpose of any output, report, or document generated by the Service.
  • Third-party integrations (Stripe, OAuth providers, PostHog) are provided as-is per their own terms; we accept no warranty liability for them.

Governing law

These Terms are governed by the laws of [YOUR-JURISDICTION], without regard to its conflict-of-laws rules. The courts of [YOUR-JURISDICTION] have exclusive jurisdiction over any dispute that is not resolved through the process set out in "Disputes", subject to mandatory consumer-protection rules in your country of residence.

  • If a court of competent jurisdiction finds any provision of these Terms unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable; all other provisions remain in full force.
  • The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

Disputes

Before filing a formal claim, we both agree to try to resolve the dispute by writing to legal@[YOUR-DOMAIN] with a clear description and the outcome you are looking for. We will reply within 30 days.

If we cannot reach a resolution, the dispute will be settled by the competent courts of [YOUR-JURISDICTION] — or, where you have chosen this option in writing, by binding arbitration under the rules of [YOUR-ARBITRATION-FORUM] seated in [YOUR-JURISDICTION].

EU consumers can also use the European Commission Online Dispute Resolution platform (ec.europa.eu/consumers/odr). Class actions and class arbitrations are waived to the extent permitted by law.

  • Informal resolution period: 30 days from the date you notify us in writing.
  • Small claims: either party may bring an individual claim in small claims court where the amount qualifies.
  • Injunctive relief: nothing in this section prevents either party from seeking emergency injunctive or equitable relief from a court of competent jurisdiction.

Changes to these Terms

We may update these Terms over time. When we do, we update the "Last updated" date and, for material changes, notify active users by email at least 14 days before the change takes effect. Continued use of the Service after the effective date means you accept the updated Terms; if you do not agree, stop using the Service and close your account.

  • Non-material changes (typo fixes, link updates, clarifications that do not alter rights or obligations) take effect immediately.
  • Material changes are notified by email and prominently displayed in the dashboard for 14 days.
  • You may always download the current version of these Terms from [YOUR-TERMS-URL].
